1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the website operated by OT PMC ("OT PMC", "we", "us" or "our"), including its client area and all content, tools and features made available through it (together, the "Website"). By accessing or using the Website, you agree to these Terms, our Privacy Policy and our Risk Disclosure. If you do not agree, you must not use the Website.

Where you enter into a separate client agreement with us for trading or portfolio management services, that agreement will govern those services. In the event of any conflict between these Terms and a client agreement, the client agreement will prevail in respect of the services it covers.

2. Eligibility and jurisdiction

The Website and our services are intended only for persons aged 18 years or over, or the age of legal majority in their jurisdiction if higher, who have the legal capacity to enter into binding agreements. The Website is not directed at, and must not be used by, any person in a jurisdiction where its publication or availability, or the provision of our services, would be contrary to local law or regulation. You are responsible for ensuring that your access to and use of the Website complies with the laws that apply to you.

3. Information only — no investment advice

All content on the Website, including articles, research, market commentary, educational material, charts, calculators and examples, is provided for general information and education only. Nothing on the Website constitutes investment, financial, legal or tax advice, a personal recommendation, or an offer or solicitation to buy or sell any financial instrument or to engage in any investment activity. Content does not take account of your personal objectives, financial situation or needs.

Examples labelled "illustrative" or "example" are hypothetical and do not reflect actual trading or the results of any client. Past performance is not a reliable indicator of future results. Any decision you make to trade or invest is made solely on your own judgement and at your own risk.

4. Accounts and security

To access certain features, you may need to register for an account. When you do, you agree to:

• provide accurate, current and complete information, and keep it up to date;
• keep your password and other access credentials confidential and not share them with anyone;
• notify us immediately at info@otpmc.com if you suspect any unauthorised access to or use of your account; and
• accept responsibility for all activity that takes place under your account, except where caused by our own failure.

We may refuse registration, or require additional verification, at our discretion and where required by law. Registration for a website account does not by itself create a client relationship for trading or portfolio management services.

5. Services and client agreements

Descriptions of our services on the Website are general in nature and may be changed, suspended or withdrawn at any time. The availability of any service is subject to our client onboarding procedures, including identity verification and suitability or appropriateness assessments, and to the laws of your jurisdiction. The specific terms, fees, risks and conditions of any service will be set out in the relevant client agreement and associated documents, which you should read carefully before proceeding. Clients register in the member portal, verify their email, complete KYC and sign the member agreement before any service begins. Invested principal is recorded in the client's Principal Wallet and income is credited to the client's Main Wallet as described in the member agreement; withdrawals of principal are subject to the member agreement and to any lock-in period agreed in writing.

6. Acceptable use

You agree not to:

• use the Website for any unlawful, fraudulent or misleading purpose, or in breach of these Terms;
• attempt to gain unauthorised access to the Website, other accounts, or any systems or networks connected to the Website;
• introduce viruses, malware or any other harmful code, or interfere with the proper working of the Website;
• use automated means, such as bots, scrapers or crawlers, to access or extract content, other than standard search-engine indexing;
• impersonate any person or entity, or misrepresent your affiliation with us; or
• reproduce, redistribute or commercially exploit any part of the Website except as expressly permitted by these Terms.

7. Intellectual property

The Website and its content — including text, research, graphics, illustrations, logos, trade names, design, layout and software — are owned by or licensed to us and are protected by copyright, trade mark and other intellectual property laws. You may view, download and print content from the Website for your own personal, non-commercial use, provided that you do not modify it and that you retain all copyright and other proprietary notices. Any other use requires our prior written consent. Nothing in these Terms grants you any right to use our name, logo or trade marks.

8. Market data and third-party content

The Website displays live charts, quotes, economic calendars and other market information provided by third parties, including TradingView, as well as reference exchange rates published by the European Central Bank. This information is provided on an "as is" basis for general information only. It may be delayed, incomplete or inaccurate, and it is not intended for trading purposes. Third-party providers retain all rights in their data and content, and your use of it may be subject to their own terms.

The Website may contain links to external websites that are not operated by us. We have no control over, and accept no responsibility for, the content, availability or privacy practices of those websites. A link does not imply endorsement.

9. Disclaimers

While we take reasonable care to ensure that the information on the Website is accurate and up to date, the Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, whether express or implied, including as to accuracy, completeness, reliability, fitness for a particular purpose or non-infringement. We do not warrant that the Website will be uninterrupted, timely, secure or free from errors, viruses or other harmful components. We do not guarantee any investment outcome, profit or return.

10. Limitation of liability

To the fullest extent permitted by law, we, our affiliates and our respective directors, officers, employees and agents shall not be liable for any loss or damage, whether direct, indirect, incidental, special or consequential, arising out of or in connection with:

• your use of, or inability to use, the Website;
• any reliance placed on content, research, market data or examples published on the Website;
• any trading or investment decision made by you;
• any interruption, delay, error or failure of the Website, third-party data or communication systems; or
• any unauthorised access to your account resulting from your failure to keep your credentials secure.

This includes, without limitation, loss of profits, loss of opportunity, loss of data and trading losses. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

11. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website or your violation of any law or the rights of any third party.

12. Suspension and termination

We may suspend or terminate your access to the Website or your account, in whole or in part, at any time and without prior notice, if we reasonably believe that you have breached these Terms, that your use presents a legal, regulatory or security risk, or where required by law. You may close your website account at any time by contacting us. Provisions of these Terms which by their nature should survive termination will continue to apply.

13. Changes to these Terms

We may amend these Terms from time to time. The updated version will be published on this page with a revised "Last updated" date. Where changes are material, we will take reasonable steps to bring them to your attention. Your continued use of the Website after changes take effect constitutes your acceptance of the revised Terms.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or with your use of the Website, shall be governed by and construed in accordance with the laws of the jurisdiction in which OT PMC is incorporated, and the courts of that jurisdiction shall have exclusive jurisdiction, except where the laws of your country of residence grant you mandatory rights that cannot be excluded. Where a client agreement specifies a different governing law or forum for the services it covers, that agreement shall prevail.

15. General provisions

• Severability — if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No waiver — our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment — you may not transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to an affiliate or successor.
• Entire agreement — these Terms, together with the Privacy Policy, the Risk Disclosure and any applicable client agreement, constitute the entire agreement between you and us regarding use of the Website.
• Language — these Terms are written in English. Any translation is provided for convenience only, and the English version prevails.
